Cinnabar Consulting, LLC offers its clients a broad range of internal audit and accounting advisory services, delivered by experienced professionals known for exceptional service. We have experience in a broad array of industries and serving both private and public companies to help our clients manage immediate needs, meet short-term targets, and achieve long-range goals.

The Company was founded by Lauren Chlanda, a CPA with over 10 years of experience in audit and business transformation initiatives including both private and public company reporting and compliance needs and adoption of technical accounting standards. Prior to founding Cinnabar Consulting, LLC, Lauren worked at DLA, LLC a boutique consulting firm assisting in public company transformations for SPAC target companies and technical matters associated with mergers and acquisitions. Lauren previously spent 7 years at Protiviti as the Central U.S. regional lead of technical accounting standards adoption and also assisted with a variety of internal audit and controls projects. Prior to Protiviti, Lauren worked at Plante Moran in their audit team. Lauren received her Bachelor of Arts in Economics from Boston College and her Masters of Accountancy from Cleveland State University.

Our Experience

Private Company Financial Statement Preparation 
Prepared first-time financial statements for a privately held investment fund primarily invested in various cryptocurrencies including preparing the basic financial statements (Balance Sheet, Statement of Operations, Cash Flow, and Equity) as well as corresponding required financial statement disclosures. As part of the process, developed underlying supporting audit workpapers outlining critical account reconciliations for cash accounts, investment holdings prepaid assets, accrued liabilities, and equity balances. Coordinated with the external auditors to respond to various questions regarding workpapers, financial statements and other flux analysis as needed. The Company had a change in control event during one of the periods under audit that required analysis of the Company as a divestiture including corresponding attribution of expenses and whitepaper documentation.

Traditional Initial Public Offering
Managed the IPO process in collaboration with underwriters, counsel, and bankers of a retail furniture provider for a listing on the New York Stock Exchange in a deal approximating $350 million. In addition to monitoring the overall project timeline, coordinated with the finance team to align on required changes needed for financial statement reporting and documentation surrounding the company's accounting policies and practices. Led efforts surrounding establishing an internal control framework in compliance with SOX including internal controls and management questionnaires as well as establishing remediation plans for control gaps existing at the organization.

De-SPAC Public Company Listing
Assisted a technology company with over $150 million in revenue update financial statements from a modified accrual basis of accounting to US GAAP in preparation for acquisition by a Special Purpose Acquisition Corporation to be listed on the NASDAQ. The Company contained ten different entities comprising seven different currencies requiring foreign currency translation, related party elimination and consolidation that had not historically been completed. Additionally, the Company required documentation surrounding critical accounting policies and procedures including the various revenue recognition methodologies (both over time and point in time), four recently completed acquisitions required analysis and whitepapers, and evaluation of related party transactions required disclosure.

Technical Accounting Standard Adoption
Assisted both public and private companies in the Manufacturing & Distribution, Oil & Gas, Insurance, Construction, and Biotechnology
industries among others with adoption of ASC 606, revenue recognition standard. In all cases this required a whitepaper documenting the scope, practical expedients, and adoption impacts. In specific cases including certain manufacturing, technology, and construction companies, generated an over time recognition methodology to appropriately recognize revenue on the basis of the standard, which was not historically recognized. Developed corresponding adoption entries, financial statement disclosures, and go-forward accounting policies.


Internal Control Design
Designed a 3-year control implementation roadmap by conducting interviews with relevant parties, identifying gaps and opportunities to strengthen existing controls, and working with the client to determine level of effort and priority for implementation for a food manufacturing entity with revenues over $1 billion. Coordinated with management to develop appropriate testing plans and scripts as well as education of the responsible parties to maximize success.
